ScopeGen Terms & Privacy

1. Introduction

These Terms of Service govern the access to and use of the ScopeGen platform, an AI-assisted audiovisual system design and scope generation platform owned and operated by Sharnyx Systems Inc.

2. AI-Assisted Platform Disclaimer

ScopeGen is an AI-assisted software platform utilizing third-party artificial intelligence providers to generate audiovisual scopes of work, engineering narratives, bills of materials, and related outputs. Outputs are informational only and must be independently reviewed and validated by qualified professionals prior to implementation.

3. Third-Party AI Provider Disclosure

Users acknowledge that ScopeGen relies on third-party AI systems and cloud infrastructure not owned or controlled by the Company. User prompts and project data may be transmitted to third-party AI providers for processing. The Company is not responsible for inaccuracies, outages, hallucinations, interruptions, or failures originating from third-party AI systems.

4. No Professional Engineering or Consulting Services

ScopeGen and Sharnyx Systems Inc. do not provide licensed engineering, architectural, legal, or code-compliance certification services through the Platform.

5. User Responsibility

Users assume full responsibility for verifying all generated outputs, ensuring compliance, validating procurement decisions, and confirming system suitability.

6. Beta / Demo Platform Disclaimer

Portions of ScopeGen may be provided as beta, prototype, demo, preview, or limited-release software and may contain bugs, interruptions, or incomplete functionality.

7. Limitation of Liability

To the maximum extent permitted by law, ScopeGen, Sharnyx Systems Inc., its shareholders, officers, directors, employees, contractors, affiliates, and representatives shall not be liable for damages arising from use of the Platform. Total liability shall not exceed amounts paid by the user within the prior twelve months.

8. Indemnification

Users agree to indemnify and hold harmless ScopeGen, Sharnyx Systems Inc., its shareholders, officers, directors, employees, contractors, affiliates, and representatives from claims arising from use or misuse of the Platform.

9. Warranty Disclaimer

ScopeGen is provided strictly on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.

10. Data Processing and AI Inputs

Users acknowledge that project data and prompts may be processed through third-party AI systems and cloud infrastructure.

11. Privacy and Data Security

The Company implements commercially reasonable security measures but cannot guarantee absolute security of transmitted or stored data.

12. Third-Party Services

ScopeGen utilizes third-party providers including AI systems, hosting providers, authentication systems, analytics platforms, and payment processors.

13. Subscription and Billing

ScopeGen may operate on a subscription, licensing, enterprise, or demo-access model. Subscription fees may renew automatically unless cancelled.

14. Acceptable Use

Users shall not reverse engineer the Platform, scrape outputs, replicate Platform logic, benchmark the Platform competitively, or attempt unauthorized access.

15. Intellectual Property

All ScopeGen systems, workflows, methodologies, prompts, engineering logic, software code, documentation, and proprietary structures remain the exclusive property of Sharnyx Systems Inc.

16. AI Output Variability

AI-generated outputs may vary between sessions and may contain inaccuracies, assumptions, or inconsistencies.

17. Service Availability

The Platform is provided on an “as available” basis with no guarantee of uninterrupted uptime or permanent data retention.

18. Account Suspension and Termination

The Company reserves the right to suspend or terminate user access for misuse, security concerns, non-payment, or violations of these Terms.

19. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Province of Manitoba and the federal laws of Canada.

20. Changes to Terms

The Company reserves the right to modify these Terms at any time. Continued use constitutes acceptance of revised Terms.

21. Generated Document Disclaimer

All generated scopes, calculations, diagrams, bills of materials, and engineering narratives must be independently reviewed and approved by qualified professionals.

22. Shareholder and Founder Protection Clause

No shareholder, founder, officer, director, advisor, consultant, contractor, or representative of Sharnyx Systems Inc. shall bear personal liability arising from use of the Platform.

23. Entire Agreement

These Terms constitute the complete agreement governing use of the Platform.
